1. Acceptance of Terms

By accessing or using NeverHodl at neverhodl.com ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Service, including visitors, newsletter subscribers, and dashboard users.

2. Description of Service

NeverHodl is a market cycle intelligence platform that aggregates publicly available on-chain, macroeconomic, and sentiment data into a single educational indicator: the NeverHodl Cycle Intelligence (NHCI) score. The Service provides:

An interactive dashboard at neverhodl.com/dashboard.html
A weekly NHCI signal newsletter via email (with opt-in)
A Telegram channel (@NeverHodlHQ) with market cycle updates

3. No Financial Advice — Critical Disclaimer

NeverHodl is NOT a financial advisor, investment advisor, broker, dealer, or registered investment service under any jurisdiction.

The NHCI score, indicators, signals, and all content on this platform are provided for educational and informational purposes only. They do not constitute and should not be interpreted as:
• Financial advice or investment advice
• A recommendation to buy, hold, or sell any asset
• A trading signal or alert service
• A prediction of future market performance

Past cycle patterns identified by the NHCI do not guarantee future results. Cryptocurrency markets are highly speculative and unregulated. You can lose your entire investment.

4. MiCA Compliance (EU Markets in Crypto-Assets Regulation)

NeverHodl operates as a data aggregation and educational platform. In accordance with MiCA (Regulation EU 2023/1114):

We do not provide crypto-asset advice as defined under MiCA Art. 4(1)(52)
We do not operate as a crypto-asset service provider (CASP) under MiCA
All historical performance data is presented with the explicit disclaimer that past performance does not predict future results
Users in EU jurisdictions should seek regulated financial advice before making investment decisions

5. Intellectual Property

NeverHodl™ is a registered trademark under OEPM España M4370276 (Classes 36 and 42). The NHCI methodology, scoring algorithm, indicator weighting system, and visual design are proprietary to NeverHodl.

You may not reproduce, copy, or distribute the NHCI methodology or algorithm
You may not create competing products that substantially replicate the NHCI scoring system
You may share NHCI scores and readings with proper attribution to NeverHodl and a link to neverhodl.com
The NeverHodl name, logo, and trademark may not be used without written permission

6. Acceptable Use

You agree not to:

Use the Service to provide financial advice to third parties based on NHCI data without appropriate disclaimers
Scrape, copy, or systematically extract data from the Service using automated tools
Attempt to reverse-engineer the NHCI scoring algorithm or methodology
Use the Service in any way that violates applicable laws or regulations
Impersonate NeverHodl or misrepresent your affiliation with the Service
Transmit malware, spam, or engage in any activity that disrupts the Service

7. Data Accuracy and Availability

The NHCI score and indicators are calculated from third-party API data sources (Kraken, CoinGecko, CoinCap, CoinPaprika, Alternative.me, and others). NeverHodl:

Makes reasonable efforts to ensure data accuracy but does not guarantee it
Is not responsible for errors, delays, or inaccuracies in third-party data sources
May experience temporary service interruptions due to API limitations or infrastructure maintenance
Reserves the right to modify, update, or discontinue indicators at any time

8. Limitation of Liability

To the maximum extent permitted by applicable law, NeverHodl and its founders shall not be liable for:

Any financial losses resulting from decisions made using NHCI data or signals
Direct, indirect, incidental, special, or consequential damages of any kind
Loss of profits, data, or business opportunities
Service interruptions, data inaccuracies, or API failures

Your use of the Service is entirely at your own risk.

9. Newsletter and Communications

Newsletter subscription is entirely opt-in
You may unsubscribe at any time via the link in any email or by contacting legal@neverhodl.com
We will process your email address in accordance with our Privacy Policy
We do not send unsolicited commercial communications

10. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via a notice on the website. Continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of Spain. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Spain, without prejudice to your rights as a consumer under applicable EU law.

12. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
